How to Enter.
No purchase is necessary to enter or win.  To enter, complete the on-line registration form located at http­­­­­­­­­­­­­­­­­­­­­­://www.sergiorossi.com/giveaway.  All on-line entrants must provide a valid e-mail address, along with their first and last names. 

All entries must be received between August 2, 2010, at 12:01 a.m. Eastern Standard Time (“EST”) and September 6th, 2010 at 11:59 p.m. EST (the “Entry Period”).  To be eligible to win, your entry must be received by Sergio Rossi during the Entry Period.  

Any effort by an entrant to misrepresent themselves through the use of aliases will disqualify entries of that entrant.  One (1) entry per person.  By participating in this Sweepstakes, all entrants agree to abide by these Official Rules and agree that their entries and other information collected in connection with each entry may be used by the Sponsor in accordance with its Privacy Policy (please review our Privacy Policy for more information).

Sponsor.
This promotion is sponsored by Sergio Rossi USA, Inc. (“Sergio Rossi”). 

Eligibility. 
This Sweepstakes is open to U.S. residents who are eighteen (18) years of age or older as of the date of their submission; residents of Alabama and Nebraska must be 19 years of age or older and residents of Mississippi must be 21 years of age or older as of the date of their submissions.  This Sweepstakes is void wherever prohibited by federal, state, provincial, municipal or local law.  Directors, officers, and employees of Sergio Rossi, its parents, affiliates, subsidiaries, divisions, distributors, agents, professional advisors, printers, and advertising, promotional and marketing agencies and the immediate family members of such directors, officers or employees, and persons living in the same household as such directors, officers or employees (whether related or not) are not eligible.  Every action taken by a participant in conjunction with this Sweepstakes must comply with local, state and federal laws. 

Winner Selection and Notification.
The winner will be selected in a random drawing to be held on or about September 6, 2010 from all eligible entries submitted. The odds of winning are determined by the number of eligible entries received.

Entries will be deemed to have been submitted by the Authorized Account Holder of the e-mail address submitted at the time of entry.  "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  The decisions of Sergio Rossi are final and binding in all matters relating to this Sweepstakes. 

Winner will be notified by email and Sergio Rossi reserves the right to determine any additional means of notification.  Sergio Rossi shall not be liable for: (1) failed, returned or misdirected notifications based on inaccurate information provided by the winner on the entry form; or (2) entries, and responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for computer or technical errors of any kind.  Winner will be given three (3) business days from the first day of notification to respond to claim the winning prize(s).  A non-response by the winner or non-receipt of notification response after the specified three (3) business days will be considered winner's forfeiture of the prize and an alternate winner may be selected from the pool of eligible entries.  If an entrant is found to be ineligible for any reason in the sole and absolute discretion of Sergio Rossi, an alternate winner may also be selected from the pool of eligible entries.  At the sole and absolute discretion of Sergio Rossi, the winner may be requested to provide Sponsor with proof that winner is the Authorized Account Holder of the e-mail address associated with the winning entry.

Prizes.

For this promotion, there will be one (1) grand prize awarded nationally in the U.S. consisting of one (1) pair of Sergio Rossi shoes and five (5) cardholders for a retail value of approximately $2,400.00 dollars.  Winner must be at least 18 years of age or older at the time of his/her submission and agree through submitting his/her entry electronically to waive any and all claim of liability against Sergio Rossi, its affiliates, and their respective employees and agents for any personal injury or loss, which may occur from participation in the Sweepstakes or from the claim and use of any prize.

The winner shall be responsible and liable for all federal, state and local taxes on the value of their prize and may be issued an IRS 1099 tax form and is advised to seek independent counsel regarding prize winnings.

General Conditions. 
This Sweepstakes is void where prohibited by law and is subject to all applicable federal, state, and local laws and regulations.  In the event of non-compliance by the winner, with the official rules of this Sweepstakes, an alternative winner(s) may be awarded the respective prize.  The prize is non-transferable.  Prizes may not be substituted for cash, except that Sergio Rossi reserves the right to substitute a prize of equal or greater value if the prize is unavailable.  Return of any prize or prize notification as undeliverable will result in a disqualification and an alternate winner may be selected.  All prizes will be awarded.  Except where legally prohibited, acceptance of any prize constitutes permission for Sergio Rossi to use the winner’s name, photograph, likeness, voice, address (city and state) and testimonials, in printed, broadcast or news media, in perpetuity, in any manner they deem appropriate in connection with promoting this promotion or with regard to any future promotion, without further compensation in connection with this Sweepstakes or the prize awarded.

Releases.
By participating, entrants agree that Sergio Rossi, those involved in the development, production (including prize suppliers), implementation and distribution of this promotion and their respective parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third party claims, arising from or relating to, in whole or in part, this Sweepstakes, including entry and participation in this promotion and acceptance, possession, use or misuse of the prizes.

Sergio Rossi shall not be liable for entries and winner notification responses that are delayed, lost, misdirected, mis-delivered, marked postage-due, illegible, mutilated, incorrect or incomplete, and such entries will be not be eligible for this promotion.  Sergio Rossi shall not be responsible for any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from downloading any part of this Sweepstakes.  Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for prizes and may be prosecuted to the full extent of the law.  Sergio Rossi reserves the right, in its sole discretion, to cancel or suspend this Sweepstakes should viruses, bugs or other causes beyond its control corrupt the administration, security or proper play of the Sweepstakes.  Sergio Rossi further reserves the right to modify the rules of the Sweepstakes in any way or at any time, as long as reasonable notice is given.  This Sweepstakes shall be governed by New York law.  By participating in this Sweepstakes, entrants agree that New York courts shall have jurisdiction over any dispute or litigation arising from or relating to this Sweepstakes and that venue shall be only in New York City.

Rules/Winner List.

Removal of Participant’s Name From Sergio Rossi’s Participant and Publicity List

In the event participants wish to have their information updated, altered or deleted from Sergio Rossi’s publicity list, they may contact Sergio Rossi by e-mail at online-assistance@us.sergiorossi.com.  Should a participant entering the Sweepstakes decline to be included on Sergio Rossi’s publicity list, their information will automatically be deleted from Sergio Rossi’s participant list within sixty days of the completion of this Sweepstakes.
